3Cnergy signs supplement deed on agreement to sell HSR
3Cnergy Limited said it has on Monday entered into a supplemental deed with with Patrick Liew and his wife Lim Sook Lin for the conditional sale and purchase agreement inked in May, under which the duo agreed to acquire HSR International Realtors from 3Cnergy for a nominal S$1.
Under the supplemental deed, Mr Liew and his wife will abstain from voting on the ordinary resolution in relation to the proposed transaction at the extraordinary general meeting (EGM) to be convened and shall decline the appointment of proxies to vote and attend the EGM.
The supplement deed also provides for 3Cnergy and its authorised officers, employees, representatives and agents to be given reasonable access during office hours to all books and records of HSR for a period of six months after the transaction is completed, to enable Catalist-listed 3Cnergy to comply with its financial reporting obligations under applicable laws and regulations of the Singapore Exchange.
