Tritech asked to hold EGM to remove two directors, appoint four others

TRITECH Group has received a requisition notice from three parties to convene an extraordinary general meeting (EGM) to remove two directors and appoint four new directors.

The company's board received the letter on Sept 19 from Adonis Investment Holdings Pte Ltd, UOB Kay Hian Private Ltd and Phillip Securities Pte Ltd, the company said in an announcement on Tuesday.

The requisitioners are seeking to remove independent directors Aw Eng Hai and Lim Yeok Hua from the board.

They are also proposing the removal of any directors appointed between the dates of the special notice and the EGM.

The other proposed resolutions include for the company to be directed to vote against all shareholders' resolutions tabled at the EGM to be convened by a subsidiary, Terratech Group, in relation to the proposed acquisition of Capital City Property Sdn Bhd and for it to unwind any disposal of its interest in the subsidiary between the date of the special notice and the EGM.

Tritech's board said it was currently verifying the shareholding of the relevant parties which signed the requisition notice and seeking legal advice on the validity of their request to convene an EGM to pass the proposed resolutions.
